1. Acceptance of Terms
By creating an account, accessing, or using the Services, you agree to be bound by these Terms, our Privacy Policy, our Acceptable Use Policy, our End User License Agreement, and our AI Terms of Use. If you are using the Services on behalf of an organization, you represent that you have authority to bind that organization to these Terms.
2. Accounts and Eligibility
You must be at least 18 years old to use the Services. You are responsible for maintaining the confidentiality of your credentials and for all activity that occurs under your account. Notify us immediately of any unauthorized use.
3. Your Content and Data
You retain ownership of the data, photos, findings, and other content you submit to the Services (“Customer Data”). You grant Company a worldwide, non-exclusive license to host, process, and display Customer Data solely to provide, secure, and improve the Services. You are responsible for ensuring you have the necessary rights and consents for any Customer Data you upload, including images of workplaces and personnel.
4. Subscriptions, Trials, and Billing
Paid plans are billed in advance on a monthly or annual basis. Free trials automatically expire unless converted to a paid plan. We may change pricing with at least thirty (30) days’ notice prior to the next renewal. Refunds are handled in accordance with our Refund Policy.
4.1 Merchant of Record
Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all our orders. Paddle provides all customer service inquiries and handles returns. You can manage your subscription, update payment details, download invoices, and request refunds at paddle.net. Paddle’s buyer terms apply to your purchase and are available at paddle.com/legal/checkout-buyer-terms.
5. Acceptable Use
You agree to use the Services in compliance with all applicable laws and our Acceptable Use Policy. You may not attempt to reverse-engineer the Services, resell access without authorization, or use the Services to train competing machine-learning models.
6. AI-Generated Output
Some features use artificial intelligence to generate safety analyses, findings, and recommendations. AI output is provided for informational purposes only and is not a substitute for professional engineering, operational, or safety judgment. Your use of AI features is additionally governed by the AI Terms of Use.
7. Intellectual Property
The Services, including all software, designs, trademarks, and documentation, are owned by or licensed to Company and are protected by intellectual-property laws. Except for the limited rights expressly granted in these Terms, no rights are transferred to you.
8. Disclaimers
THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE.
9. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, COMPANY WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUES, DATA, OR GOODWILL. OUR AGGREGATE LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THE SERVICES WILL NOT EXCEED THE AMOUNTS YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
10. Indemnification
You agree to indemnify and hold Company and its affiliates, officers, and employees harmless from any claims, losses, or expenses (including reasonable attorneys’ fees) arising from your breach of these Terms, misuse of the Services, or violation of any law or third-party right.
11. Termination
We may suspend or terminate your access to the Services at any time for breach of these Terms or for conduct that we reasonably believe may harm Company, other users, or third parties. You may cancel at any time from your billing settings.
12. Dispute Resolution
The parties will first attempt to resolve disputes through good-faith negotiation. If unresolved, disputes will be submitted to mediation and, if necessary, final and binding arbitration under the rules of the American Arbitration Association.
13. Governing Law
These Terms are governed by the laws of the State of Illinois, without regard to its conflict-of-laws provisions.
14. Changes to These Terms
We may update these Terms from time to time. Material changes will be communicated through the Services or by email. Your continued use of the Services after changes take effect constitutes acceptance of the updated Terms.
